Acceptance of Terms
By accessing or using Hyprknot ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.
Platform Description
Hyprknot is a B2B marketplace platform connecting suppliers with merchants. The Platform enables:
- Product catalog management and order processing
- Dual revenue streams: order revenue (98% to supplier) and subscription commissions (80% to supplier)
- Automated payment processing and reporting
- Business analytics and insights
Eligibility
To use the Platform, you must:
- Be at least 18 years old
- Have the legal authority to enter into binding agreements
- Operate a legitimate business with proper licenses and permits
- Provide accurate and complete registration information
- Comply with all applicable laws and regulations
Account Registration
You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
Revenue Model & Fees
Platform Subscription
- Monthly or annual subscription fees as per selected plan
- Plans: Starter (₹5,000/mo), Professional (₹7,500/mo), Enterprise (₹10,000/mo)
- Fees are non-refundable except as required by law
Order Revenue
- 2% platform fee on all order values
- Suppliers retain 98% of order revenue
- Fees automatically deducted before payout
Subscription Commissions
- 80% commission when merchants subscribe to premium features
- 30% to Hyprknot, 10% payment gateway fees
- Recurring monthly payments while merchant subscription is active
Payment Terms
- Order payments: Weekly on Fridays for delivered orders
- Subscription commissions: Monthly on the 1st of each month
- Payments made to verified bank accounts only
- Minimum payout threshold may apply
- Chargebacks and refunds may be deducted from future payments
Supplier Obligations
As a supplier, you agree to:
- Provide accurate product information and pricing
- Maintain adequate inventory for listed products
- Fulfill orders in a timely manner
- Provide quality products that match descriptions
- Handle returns and customer complaints professionally
- Comply with all applicable laws regarding products and sales
- Not engage in fraudulent or deceptive practices
Prohibited Activities
You may not:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Sell prohibited, counterfeit, or illegal products
- Manipulate pricing or engage in price fixing
- Spam, harass, or abuse other users
- Attempt to circumvent platform fees
- Use automated systems to scrape or collect data
- Interfere with platform security or functionality
Intellectual Property
The Platform and its content are owned by Hyprknot and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute our content without permission.
You retain ownership of your product data and grant us a license to use it for platform operations.
Termination
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent activities
- Fail to pay required fees
- Damage the platform or other users
You may cancel your subscription at any time. Upon termination, you remain responsible for any outstanding fees.
Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:
- Uninterrupted or error-free operation
- Accuracy or completeness of content
- Specific results or earnings
- Security from unauthorized access
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPPLYSYNC SHALL NOT BE LIABLE FOR:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or data
- Service interruptions or technical issues
- Actions or omissions of other users
Our total liability shall not exceed fees paid by you in the past 12 months.
Indemnification
You agree to indemnify and hold Hyprknot harmless from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.
Dispute Resolution
Any disputes shall be resolved through binding arbitration in Mumbai, India, under Indian law. You waive the right to participate in class action lawsuits.
Changes to Terms
We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms.
